Change in Company Name Filing with MCA in India

A company's name is one of its most important assets. It is how the company is identified by its customers, suppliers, and other stakeholders. For this reason, it is important to choose a company name that is clear, memorable, and relevant to the company's business.

However, there may be times when a company needs to change its name. This could be due to a number of reasons, such as:

  • The company is merging with or acquiring another company.
  • The company is changing its business focus.
  • The company's name is no longer available.

In India, the process of changing a company name is governed by the Companies Act, 2013. The following steps are involved in changing a company name in India:

  1. Reserve the new name. The first step is to reserve the new company name. This can be done through the MCA's online RUN (Reserve Unique Name) service. The RUN service will check whether the proposed name is available and, if it is, it will reserve the name for a period of 60 days.
  2. Pass a special resolution. Once the new name has been reserved, a special resolution must be passed by the company's shareholders. A special resolution is a resolution that is passed by a majority of 75% of the votes cast. The special resolution must approve the change of name and the alteration of the company's Memorandum of Association (MOA) and Articles of Association (AOA).
  3. File eForm MGT-14. Once the special resolution has been passed, eForm MGT-14 must be filed with the MCA. eForm MGT-14 is the form that is used to notify the MCA of a change in the company's MOA and AOA.
  4. File eForm INC-24. Finally, eForm INC-24 must be filed with the MCA. eForm INC-24 is the form that is used to apply for approval of the change of name from the Central Government.

Once eForm INC-24 has been filed, the Central Government will have a period of 30 days to approve or reject the application. If the application is approved, the company's name will be changed.

The process of changing a company name in India can be complex and time-consuming. However, by following the steps outlined above, it is possible to change a company name smoothly and efficiently.

Here are some additional things to keep in mind when changing a company name in India:

  • The new name must be unique and not already in use by another company.
  • The new name must be in compliance with the Companies Act, 2013.
  • The new name must be approved by the Central Government.

The cost of changing a company name in India varies depending on the factors involved. However, it is typically in the range of INR 5,000 to INR 10,000.

If you are considering changing your company's name, it is important to consult with a lawyer or chartered accountant to ensure that the process is completed correctly.

Here are some of the benefits of changing a company name:

  • A new name can help to improve the company's brand identity.
  • A new name can help to attract new customers.
  • A new name can help to differentiate the company from its competitors.

Here are some of the risks of changing a company name:

  • The company may lose its goodwill and reputation.
  • The company may have to change its website, letterhead, and other branding materials.
  • The company may have to notify its customers and suppliers of the change.

Overall, the decision of whether or not to change a company name is a complex one. However, if done correctly, it can be a valuable asset for the company.
